Terms of Service
These Terms of Service (“Terms”) govern your use of the websites operated by onCloud, LLC (“onCloud,” “we,” “us”) — oncloud.io, cloudspire.ai, and cloudspirevoice.com (the “Sites”). By using the Sites you agree to these Terms. If you do not agree, please do not use the Sites.
Use of the Cloudspire platform itself (including the customer portal) is governed by the service agreement between onCloud and your organization; these Terms cover the public Sites.
1. Use of the Sites
The Sites and their content — text, graphics, logos, images, software, and design — are the property of onCloud, LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may view and use the Sites for your personal or internal business evaluation of our products. You may not copy, reproduce, republish, distribute, or create derivative works from the Sites’ content without our prior written permission, except as permitted by law.
2. Acceptable Use
You agree not to:
- Use the Sites in any way that violates applicable law;
- Probe, scan, or test the vulnerability of the Sites, or interfere with their operation;
- Submit false, deceptive, or abusive content through our forms or chat assistant;
- Use automated tools to scrape, harvest, or bulk-download Site content;
- Impersonate any person or misrepresent your affiliation with any organization.
3. AI Assistant
The Sites include an AI-powered chat assistant that can answer questions about our products and open support tickets on your behalf. The assistant’s responses are generated automatically and provided for general information only — they may contain errors and do not constitute a contractual commitment, professional advice, or a guarantee of service capability. Pricing, availability, and service commitments are established only in a written agreement with onCloud.
4. No Emergency Services
The Sites, including the chat assistant and contact forms, are not a way to reach emergency services and are not monitored in real time for emergencies. If you have an emergency, dial 911. Cloudspire platform E911 capabilities and limitations are described in the customer service agreement.
5. Product Information
We work to keep the Sites accurate, but content is provided for general information and may change without notice. Features described may vary by plan, and screenshots or demos may reflect configurations that differ from your deployment. The Sites do not constitute an offer; all services are sold under a separate written agreement.
6. Third-Party Links
The Sites link to third-party websites and services we do not control. We are not responsible for their content or practices, and a link does not imply endorsement.
7. Disclaimer of Warranties
THE SITES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONCLOUD, LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
9. Indemnification
You agree to indemnify and hold harmless onCloud, LLC from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or misuse of the Sites.
10. Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles. Any dispute relating to the Sites will be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to their jurisdiction.
11. Changes to These Terms
We may revise these Terms from time to time. The effective date above reflects the current version; continued use of the Sites after changes take effect constitutes acceptance.
